Terms and Conditions

Last updated: 25 September 2026

TokShopOS is a product of Z Media Group LLC ("TokShopOS", "we", "us"). These Terms cover your use of the TokShopOS website, the application process, and the services we provide under a signed Services Agreement ("Services"). By using the website or applying for the Services you agree to these Terms. If you do not agree, please do not use them.

Where you have signed a Services Agreement with us, that agreement takes priority over these Terms if the two conflict.

1. Who can use TokShopOS

The Services are for businesses. You must be at least 18 and authorised to act for the business you represent. Information you give us in the application, during onboarding and throughout the engagement must be accurate and kept up to date.

2. What the Services are

TokShopOS installs a TikTok Shop operating system inside your business. Depending on your agreement this includes some or all of the following: playbooks and standard operating procedures, onboarding and training for your team, and AI agents configured to run those playbooks inside your own tools (for example Slack, TikTok Seller Centre and your ad account).

The Services are an install and support service, not a managed agency service. We do not operate your TikTok Shop on your behalf. Your team owns the decisions, approvals and outcomes.

3. Applying and onboarding

Submitting an application does not create a contract. We review each application, and we accept a limited number of installs each month. If we accept you, we will send a Services Agreement setting out the scope, fees, timeline and guarantee. The Services begin when that agreement is signed and the install fee is received.

4. Fees

The install is a fixed fee, payable in advance. After the install you may choose an optional monthly retainer covering agent upkeep and TikTok Shop consultancy. The retainer runs month to month and either side may end it with 30 days' written notice. Any add on work, such as shop setup for a brand not yet live on TikTok Shop, is quoted separately.

Fees exclude VAT and other applicable taxes. We may change retainer pricing with 30 days' notice; changes never apply to a fee already paid.

5. Your responsibilities

To deliver the Services we need timely access to the tools the agents run in, a named operator on your side, and your product, brand and commercial information. You are responsible for that access, for keeping your accounts secure, and for making sure your use of TikTok Shop, creators and advertising complies with TikTok's terms, advertising rules and the law in the markets you sell in.

You will not use the Services for anything unlawful, to infringe anyone's rights, to send unsolicited or misleading messages, or to interfere with our systems or those of any third party.

6. The AI agents

The agents act inside your accounts, under playbooks you approve, and escalate anything outside those playbooks to your operator. They can draft messages to creators, recommend changes and post reports. You review and approve their work the way you would a team member's. You are responsible for what is sent and done from your accounts, including whether and how you tell creators and customers that they are dealing with automated tools. We will advise on this during onboarding, and we will never configure an agent to misrepresent itself when asked directly.

AI outputs can be wrong. We build in guardrails, pacing limits and escalation rules, and we keep the agents current under the retainer, but we do not promise that any output is error free.

7. Your data and confidentiality

Your data stays yours. We access and process it only to deliver and support the Services. We keep your commercial information, playbook configuration and performance data confidential and do not share it with other clients. We may use anonymised, aggregated information to improve the Services. Our Privacy Policy explains how we handle personal data.

8. Intellectual property

The playbooks, SOPs and training materials we install are licensed to you for use inside your business for as long as you like. You may not resell them, publish them or supply them to a third party providing similar services. The TokShopOS agents, software, methods and brand remain the property of Z Media Group LLC; you receive a licence to run the agents installed for you inside your business. Your brand, content, product data and everything the agents produce for your accounts belong to you. If you give us feedback or suggestions we may use them without restriction.

9. Third party platforms

TokShopOS is not part of TikTok or ByteDance Ltd and is not endorsed by them. TikTok Shop, Slack and any other platform we work inside are governed by their own terms, which may change. We are not responsible for changes, outages, suspensions or policy decisions made by those platforms, though under the retainer we will adapt the system to them.

10. Results

Results depend on your products, pricing, margins, creators, ad spend and the decisions your team makes. Any figures on our website or in our materials are examples or reported industry figures and are not a promise of what your business will achieve. Any guarantee we offer is set out in your Services Agreement and nowhere else. Beyond that, we make no commitment about sales or revenue.

11. Ending the Services

You may end the retainer on 30 days' written notice. We may suspend or end the Services if you breach these Terms or your agreement, if you fail to pay, if the law requires it, or if we can no longer provide the Services on commercially reasonable terms, in which case any unused prepaid retainer is refunded. On ending, the agents and playbooks already installed in your business stay with you as set out in section 9. We keep our working copies of your data for 30 days after the engagement ends and then delete them, unless the law requires otherwise.

12. Liability

To the extent the law allows, our total liability arising from the Services in any 12 month period is limited to the fees you paid us in that period, and we are not liable for loss of profit, revenue or business, or for indirect or consequential loss. Nothing in these Terms limits liability that cannot be limited by law, including for fraud.

13. Changes to these Terms

We may update these Terms. If a change is material we will tell you by email or through the website. Continued use of the website or Services after the change takes effect means you accept it. Changes to a signed Services Agreement require agreement in writing from both sides.

14. Governing law

These Terms are governed by the laws of the State of Wyoming, United States. Any dispute that cannot be resolved between us will be settled by binding arbitration in Wyoming, unless your Services Agreement specifies otherwise. If any part of these Terms is found unenforceable, the rest remains in effect.
